Welcome to the official website of the Greater Bay Area Yacht & Cruise Industry Association ("GBAYCIA," "we," "us," or "our").
These Terms and Conditions ("Terms") govern your access to and use of our website (the "Site"). By accessing, browsing, or using this Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Site. We encourage you to review these Terms periodically, as your continued use of the Site following the posting of any changes constitutes your acceptance of those changes.
(Note: For enhanced legal enforceability, particularly for user registrations or contact forms, users will be required to actively accept these Terms via a clickwrap mechanism, such as checking an "I agree" box.)
1. Use of the Site
The Site is provided for informational purposes, to facilitate communication, and to promote the maritime and cruise industry within the Greater Bay Area.
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Site by, any third party. Specifically, you agree not to:
•Use the Site or our contact forms to transmit spam, unsolicited promotional materials, or malicious software (including viruses, trojans, or worms). We strictly prohibit the sending of commercial electronic messages in violation of Hong Kong's Unsolicited Electronic Messages Ordinance (Cap. 593).
•Attempt to gain unauthorized access to any part of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
•Engage in any automated data collection (such as scraping, data mining, or data extraction) without our prior written consent.
2. Intellectual Property Rights
All content, materials, and intellectual property displayed on the Site—including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software—are the property of GBAYCIA or its content suppliers and are protected by Hong Kong and international copyright, trademark, and other intellectual property laws.
You may view, download, and print materials from the Site for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any of the content without the express prior written permission of GBAYCIA.
3. Privacy and Data Protection
Your privacy is important to us. For information on how we collect, use, and protect your personal data, please refer to our Privacy Policy Statement. Any collection and processing of personal data for direct marketing or other specific purposes will be conducted in accordance with the Personal Data (Privacy) Ordinance (Cap. 486) of Hong Kong, and we will seek your explicit consent where required by law.

The Site and all information, content, materials, and services included on or otherwise made available to you through the Site are provided by GBAYCIA on an "as is" and "as available" basis.
To the fullest extent permitted by applicable Hong Kong law, GBAYCIA disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or the server that makes it available are free of viruses or other harmful components.
Nothing in this disclaimer shall exclude or restrict our liability for death or personal injury resulting from our negligence, as stipulated under the Control of Exemption Clauses Ordinance (Cap. 71) of Hong Kong.
6. Limitation of Liability
Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, as stipulated under the Control of Exemption Clauses Ordinance (Cap. 71) of Hong Kong.
Subject to the above, and to the fullest extent permitted by applicable law, GBAYCIA, its officers, directors, employees, agents, and affiliates shall not be liable for any consequential, special, incidental, or punitive damages (including but not limited to loss of profits, data, use, or goodwill) arising out of or in connection with your access to, use of, or inability to use the Site, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.
Furthermore, we are not liable for any delays, delivery failures, or other damage resulting from the transmission of data over communications networks and facilities, including the internet.
7. Indemnification
Subject to applicable Hong Kong law, including consumer protection legislation, you agree to indemnify, defend, and hold harmless GBAYCIA, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising directly from your breach of these Terms.
8. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
9. Governing Law and Jurisdiction
These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region, and you irrevocably submit to such jurisdiction.
10. Modifications to the Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Any material changes will be effective no earlier than 14 days after we post an announcement on the Site. Non-material changes (such as typographical corrections) may take effect immediately upon posting. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of those changes.
